Terms of Service

These Terms of Service ("Terms") govern your access to and use of Axion ("Service"), operated by Axion ("Company", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Axion is a SaaS platform that connects to your marketing and analytics accounts (Google Analytics, Google Search Console, Meta Ads, Google Ads, CRM systems, and e-commerce platforms) to provide automated analysis, SEO recommendations, and growth tools for business owners and digital agencies.

To use the Service, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at legal@axion.co.il if you suspect unauthorized use of your account.

You must be at least 18 years old to use the Service. By registering, you represent that you meet this requirement.

Some features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected).

• Free trial — New accounts may access the Service free for a trial period as stated on the pricing page. No credit card is required during the trial unless otherwise stated.
• Cancellation — You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
• Refunds — We offer a 7-day money-back guarantee on first-time paid subscriptions. Contact us within 7 days of your first charge for a full refund.
• Price changes — We will provide at least 30 days' notice before changing subscription prices.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use the Service to transmit spam, malware, or any harmful content
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or sublicense access to the Service without our written permission
• Use automated means to access the Service other than through our documented APIs

We reserve the right to suspend or terminate accounts that violate these terms at our discretion.

The Service integrates with third-party platforms (Google, Meta, Shopify, etc.). Your use of those platforms is governed by their respective terms of service. Axion is not responsible for the availability, accuracy, or actions of third-party services.

By connecting a third-party account, you authorize Axion to access and use that account's data as described in our Privacy Policy. You represent that you have the right to grant this access.

The Service, including its software, design, content, and trademarks, is owned byAxion and protected by intellectual property laws. These Terms do not transfer any ownership to you.

You retain ownership of your data. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

SEO and marketing recommendations provided by the Service are based on data analysis and should be treated as suggestions, not guarantees of specific outcomes. Results will vary based on many factors outside our control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold Axion and its officers, directors, employees, and agents harmless from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

Either party may terminate the relationship under these Terms at any time. We may suspend or terminate your account immediately if you violate these Terms, misuse the Service, or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Tel Aviv, Israel, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time. We will notify you of material changes at least 14 days in advance via email or a prominent notice in the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
